Agreement to these Terms

These Terms of Service ("Terms") are a legal agreement between you and Vmart LLC ("Vmart," "we," "us," or "our"). They govern your use of the website at vmart.market, the Vmart mobile app, and our phone, email, and text messaging services (together, the "Services"). By creating an account, posting a listing, or otherwise using the Services, you agree to these Terms, our Privacy Policy, our Community Guidelines, and our Prohibited Content rules. If you do not agree, do not use the Services.

Eligibility and accounts

• You must be at least 18 years old and able to enter into a binding contract.
• You must give accurate, current information and keep it up to date.
• You are responsible for all activity on your account and for keeping your sign-in credentials secure. Tell us right away at support@vmart.market if you believe your account has been used without permission.
• You may not create multiple accounts to get around our rules or a suspension.

Vmart’s role

Vmart is an online advertising marketplace where community members post and find services, businesses, jobs, beauty opportunities, items for sale, businesses for sale, and real estate. Vmart is not a buyer, seller, employer, agent, broker, or guarantor in any transaction between users. Vmart does not process payments between buyers and sellers, and any agreement you make with another user is solely between you and that user.

Before you transact, verify the other party's identity and any required licenses, and confirm prices, terms, and quality. Do not send money or share sensitive information until you have done so.

Listings

You are responsible for the accuracy, legality, and availability of everything you list. Listings must describe a real offer, show a truthful price, and use photos you have the right to use. Job listings may be posted only by the employer or its authorized representative. Listings for licensed services or real estate must comply with the licensing and advertising laws that apply to you.

Acceptable use

You agree to follow the law, our Community Guidelines, and our Prohibited Content rules. You may not:

• Commit fraud, post scams, or misrepresent yourself, your business, or what you offer
• Impersonate any person or business, or claim a business you are not connected to
• Harass, threaten, or discriminate against others
• Post or transact in prohibited goods, services, or opportunities
• Post government ID numbers, financial account information, or another person's private information
• Scrape, copy, or collect data from the Services by automated means
• Interfere with, overload, or try to gain unauthorized access to the Services
• Evade moderation, or use multiple accounts to break these Terms

Your content and license

You keep ownership of the content you post. By posting, you grant Vmart a non-exclusive, worldwide, royalty-free license to host, copy, display, format, and adapt your content to operate, protect, and promote your listings and the Services. This license ends when you remove the content, except for copies kept in backups or as required by law. You confirm that you have all rights needed to post your content and to grant this license.

Business directory and claims

Vmart may list businesses in its directory using information from public sources, such as state licensing agencies and professional registries. An owner or authorized representative may claim a business page by verifying their connection to the business. A successful claim gives you control of the page; it is not a legal determination of ownership. Submitting a false claim is a violation of these Terms. Anyone may report wrong information or request removal of a page using the links on that page or by emailing support@vmart.market.

Fees, payments, and renewals

• Paid listings. Downloading the Vmart app is free. Posting ads and Featured listings requires payment of the fees shown at checkout.
• Payment processing. Payments are processed by Stripe. By paying, you authorize Vmart and Stripe to charge your payment method for the fees you select, plus any applicable taxes.
• Automatic renewal. Listings with a recurring term renew automatically at the end of each term at the then-current price, and your payment method on file is charged, until you cancel. We will remind you before a renewal charge. You can cancel at any time in your account; cancellation stops future renewals, and your listing stays active until the end of the paid term.
• Free periods. Vmart may offer free listing periods, such as to an owner who claims a business page. Offers are made at Vmart's discretion, may differ between businesses, and may require a payment method on file. Unless you cancel before the free period ends, your listing will renew as a paid listing and your payment method will be charged. We will tell you the length of your free period, the renewal date, and the price before it ends.
• Refunds. Fees are non-refundable except where required by law, or where Vmart removes your listing because of a Vmart error. Fees are not refunded when a listing is removed for violating these Terms.
• Price changes. We may change our fees. Changes apply to your next renewal, and we will notify you before they take effect.
• Failed payments. If a payment fails, we may pause or remove your paid listing until the payment is completed.

Text messaging (SMS) terms

Other communications

By creating an account, you agree that Vmart may contact you by email and in-app notifications about your account, listings, payments, and changes to the Services. You can turn off non-essential emails and push notifications at any time; account and transaction messages will still be sent.

Moderation, suspension, and termination

Vmart may review, reject, restrict, or remove any content, and may suspend or close any account, to enforce these Terms, reduce risk to users, or comply with law. In urgent cases we may act before giving notice. You may close your account at any time; see our Privacy Policy for how account deletion and restoration work. Sections 6, 8 (for amounts owed), 12, 13, 14, and 15 survive termination.

Disclaimers

The Services may change, be interrupted, or contain errors. To the fullest extent permitted by law, the Services are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Vmart does not guarantee the availability or accuracy of the Services or of any listing, the identity or licensing of any user, or the outcome of any transaction.

Limitation of liability

To the fullest extent permitted by law, Vmart and its owners, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or lost business, arising from the Services, from the conduct of any user, or from any transaction made on or off the Services. Vmart's total liability for any claim relating to the Services will not exceed the greater of the fees you paid Vmart in the 12 months before the claim or $100. Nothing in these Terms limits liability that cannot be limited by law.

Indemnity

You agree to defend, indemnify, and hold harmless Vmart and its owners, employees, and agents from any claims, losses, and expenses, including reasonable attorneys' fees, arising from your content, your listings, your transactions with other users, or your violation of these Terms or the law.

Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. Before filing a claim, you agree to contact us at support@vmart.market and try to resolve the dispute informally for at least 30 days. Any claim that is not resolved will be brought only in the state or federal courts located in Palm Beach County, Florida, and you and Vmart consent to the jurisdiction of those courts. Either party may bring an eligible claim in small claims court.

Mobile app stores

If you download the Vmart app from the Apple App Store or Google Play, these Terms are between you and Vmart only, not Apple or Google. Apple and Google have no obligation to provide support or maintenance for the app and are not responsible for any claims relating to it. Your use of the app must also follow the app store's terms. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms on this page with a new effective date, and we will notify you of material changes by email or through the Services before they take effect. Your continued use of the Services after the effective date means you accept the updated Terms.

General

These Terms, together with our Privacy Policy, Community Guidelines, and Prohibited Content rules, are the entire agreement between you and Vmart about the Services. If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not transfer these Terms without our consent; we may transfer them in connection with a merger, acquisition, or sale of assets. Vmart LLC owns the Vmart name, logo, and trademark.
